Terms of Sale

Parties and acceptance

These Terms of Sale are a contract between you and DexaLabs Research Inc. ("DexaLabs", "we", "us"), a company doing business in Ontario, Canada. By placing an order you accept these terms in full.

Eligibility

You must be at least 18 years old to place an order. By ordering, you represent that you are purchasing on behalf of a laboratory, institution, or research business, and not as a personal or household purchase.

Research-use-only acknowledgement

Every product listed by us is sold strictly for in-vitro laboratory research use. Products are not for human or veterinary use, and are not drugs, cosmetics, foods, or supplements.

You are solely responsible for the lawful acquisition, handling, storage, and disposal of any product you purchase, and for compliance with every applicable law, including the Food and Drugs Act (Canada). Products may not be resold for human or animal consumption under any circumstances.

Products, descriptions, and certificates of analysis

Where provided, a certificate of analysis (COA) reflects a batch test performed on a stated date by an independent laboratory. A COA describes that batch only; specifications can change between batches.

Products are supplied without any warranty that they are fit for a particular purpose. Descriptions on this site are for identification only and are not a representation about suitability for any use.

Prices, currency, and taxes

All prices are listed in Canadian dollars (CAD). Applicable federal or provincial sales tax, if any, is shown at checkout before you complete your order. Prices are subject to change without notice, and we may correct listing errors at any time before an order is accepted.

Orders and payment

Orders placed by Interac e-Transfer are held for 48 hours awaiting payment; an order not paid within that window is automatically cancelled. Your order number must be included in the transfer message so your payment can be matched to your order.

DexaLabs Research Inc. may decline or cancel any order at its discretion, including for suspected misuse, an incomplete payment match, or unavailable inventory.

Shipping and risk

We currently ship to addresses within Canada, from within Canada. Risk of loss passes to you once a shipment is handed to the carrier. A tracking number, where available, is provided after dispatch.

Returns and damaged goods

Lyophilized reagents are not returnable once shipped, except where a shipment arrives damaged or does not match what you ordered. Report a damaged or incorrect shipment within 48 hours of delivery, with photos, to the contact address below.

Where a claim is accepted, we will provide a replacement or a refund, at our discretion. Refunds are issued by Interac e-Transfer to the account that sent the original payment.

Intellectual property

All trademarks, product names, and site content are the property of DexaLabs Research Inc. or its licensors. Nothing in these terms grants you a licence to use them other than to complete and reference your own order.

Disclaimer of warranties and limitation of liability

To the maximum extent permitted under the laws of Ontario, products are supplied without warranties of any kind, express or implied.

DexaLabs Research Inc.'s total liability arising from any order is limited to the amount you paid for that order, and we are not liable for indirect, incidental, or consequential loss. Nothing in these terms excludes a liability that cannot lawfully be excluded in Ontario.

Indemnity

You agree to indemnify and hold DexaLabs Research Inc. harmless from any claim, loss, or expense arising from your handling, storage, use, or disposal of a product you purchased, or from your breach of these terms.

Governing law and venue

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any dispute arising from these terms will be resolved exclusively in the courts of Ontario.

Changes to these terms

We may update these terms from time to time. The version in effect at the time you place an order applies to that order.
